These Terms for Suppliers outline the conditions under which suppliers provide goods or services to Credence Corporation. By accepting a purchase order or doing business with us, the supplier agrees to these terms.
1. Scope of Supply
Suppliers agree to provide products or services as specified in the purchase order, quotation, or written agreement. All items must meet the agreed technical specifications, quality standards, and certification requirements.
2. Quality and Certification
All supplied parts must:
- Be new, unused, and airworthy unless otherwise stated
- Include valid certification such as FAA 8130-3, EASA Form 1, or OEM documents
- Be fully traceable to an approved source
Credence Corporation reserves the right to reject any material that does not meet these requirements.
3. Compliance and Regulations
Suppliers must comply with:
- Applicable aviation authority regulations
- Export and import control laws
- Industry safety and quality standards
Any non-compliance must be reported immediately.
4. Pricing and Payment Terms
- Prices must match the agreed quotation or purchase order
- No additional charges will be accepted unless approved in writing
- Payment terms will be as stated in the purchase order
- Invoices must include correct part numbers, quantities, and certifications
5. Delivery and Packaging
- Delivery timelines must be strictly followed
- Parts must be properly packed to prevent damage
- Packaging must meet aviation and export standards
- Any delay must be communicated in advance
Failure to meet delivery timelines may result in order cancellation.
6. Inspection and Acceptance
All goods are subject to inspection upon receipt. Credence Corporation reserves the right to:
- Reject non-conforming items
- Request replacement or refund
- Return goods at supplier’s expense
Acceptance does not waive the right to future claims.
7. Warranty
Suppliers warrant that:
- Goods are free from defects
- Products meet all technical and regulatory requirements
- Items are fit for their intended aviation use
Any defect discovered within the warranty period must be corrected at no cost.
8. Confidentiality
All information shared, including pricing, documents, and business details, must be treated as confidential and not disclosed to third parties without written consent.
9. Liability and Indemnification
Suppliers are responsible for any loss, damage, or claims arising from:
- Defective products
- Incorrect documentation
- Failure to meet compliance standards
Suppliers agree to indemnify Credence Corporation against such claims.
10. Termination
Credence Corporation reserves the right to terminate any supplier relationship without prior notice if:
- Quality standards are not met
- Delivery commitments are repeatedly missed
- Compliance issues arise
11. Governing Law
These Terms shall be governed by and interpreted in accordance with applicable local and international trade laws.
